Please read these Terms & Conditions ("Terms", "Terms of Service") carefully before using the Corrientech dashboard, hardware devices, firmware, and related web services (the "Service") operated by Corrientech ("us", "we", or "our").
1. Acceptance of Terms
By accessing or using the Service, placing an order for Corrientech hardware (such as CT-Sense clamps), or deploying Corrientech firmware on your devices, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service or use our hardware.
2. Hardware & Installation Disclaimers
Advisory Tool, Not a Control or Safety System: Corrientech hardware and the Service are supplemental monitoring tools intended to enhance visibility into your equipment's operation. They are not safety devices, industrial controls, or a substitute for your own maintenance, quality, or safety systems, and are not fit for any safety-critical or life-safety purpose. Corrientech makes no promise or agreement, express or implied, as to the accuracy of any reading, metric, alert, or analysis produced by the Service.
Installation Is Performed By You, Not Us: Corrientech hardware is, in the ordinary course, installed by your organization's own personnel — facility technicians, maintenance staff, electricians, or other contractors you select — and not by Corrientech. Corrientech has no visibility into and no control over the manner, quality, placement, or location of installation, is not present during installation, and does not verify it after the fact. You are solely responsible for ensuring installation is performed safely, correctly, and by qualified personnel, in accordance with all applicable electrical codes, the host equipment manufacturer's specifications, and workplace safety requirements, including lockout/ tagout procedures. Do not install sensors on live, exposed high-voltage wiring without proper safety protocols.
No Accuracy Warranty: Sensor readings and any metric derived from them can be affected by factors entirely outside Corrientech's knowledge and control, including without limitation: sensor placement, physical movement or dislodgement of a clamp or sensor after installation, mechanical vibration, electromagnetic interference (EMI), wiring configuration, and the condition of the host equipment. CORRIENTECH MAKES NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY DATA, METRIC, ALERT, OR ANALYSIS PRODUCED BY THE SERVICE. YOU ACKNOWLEDGE THAT THE SERVICE IS AN INFORMATIONAL AID ONLY, AND THAT ULTIMATE RESPONSIBILITY FOR YOUR EQUIPMENT, PRODUCTION, AND SAFETY REMAINS ENTIRELY YOURS.
Limitation of Liability for Industrial Equipment: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT CORRIENTECH SHALL IN NO EVENT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, RESULTING FROM THE USE OR THE INABILITY TO USE THE HARDWARE, FIRMWARE, OR SERVICE, OR ARISING OUT OF OR RELATED TO: (A) THE INSTALLATION, PLACEMENT, MOVEMENT, OR REMOVAL OF ANY HARDWARE; OR (B) INACCURATE, INCOMPLETE, DELAYED, OR MISSING SENSOR DATA OR DERIVED METRICS, INCLUDING THOSE CAUSED BY SENSOR PLACEMENT, VIBRATION, ELECTROMAGNETIC INTERFERENCE, OR ANY OTHER ENVIRONMENTAL OR INSTALLATION FACTOR. This includes, without limitation, any damage to your industrial machinery, electrical systems, production downtime, or loss of revenue. IN NO EVENT SHALL CORRIENTECH'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO CORRIENTECH FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
3. Provision of Service "AS IS"
The Service, including data visualizations, telemetry insights, machine learning classifications, anomaly detection, and over-the-air (OTA) updates, is provided on an "AS IS" and "AS AVAILABLE" basis. Corrientech makes no warranties, expressed or implied, and hereby disclaims all warranties, including without limitation: implied warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
4. Over-The-Air (OTA) Updates
By using Corrientech hardware connected to our Service, you grant us permission to automatically push firmware updates to your devices to improve functionality, security, or address bugs. While we strive to ensure all updates are stable, you acknowledge that OTA updates carry inherent risks and Corrientech is not liable for device failures or downtime resulting from firmware updates.
5. Data & Telemetry Ownership
You retain full ownership of the raw telemetry data collected from your machines. By using the Service, you grant Corrientech a worldwide, royalty-free license to use, host, store, reproduce, and create derivative works (including training machine learning models) from this telemetry data. This license continues even if you stop using our Services.
6. Indemnification
You agree to defend, indemnify, and hold harmless Corrientech and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service or hardware; (b) your violation of these Terms; (c) your violation of any applicable law or any third-party right, including intellectual property, privacy, or proprietary rights; or (d) any data, instructions, or content you submit, configure, or transmit through the Service.
7. Suspension and Termination
We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without cause and with or without notice, at our sole discretion — including for suspected violation of these Terms, non-payment, or use that we believe poses a risk to the Service, other users, or third parties. You may stop using the Service at any time. Upon termination, your right to access and use the Service immediately ceases. Sections of these Terms that by their nature should survive termination — including, without limitation, Limitation of Liability, Disclaimer of Warranties, Indemnification, Data & Telemetry Ownership, and Governing Law and Dispute Resolution — will survive.
8. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Subject to the arbitration agreement below, you agree that the state and federal courts located in El Paso County, Texas shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to the personal jurisdiction of such courts.
Arbitration Agreement and Class Action Waiver: Except for disputes eligible for small claims court, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in El Paso, Texas, and conducted on an individual basis only. YOU AND CORRIENTECH EACH WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING AGAINST THE OTHER. The arbitrator may not consolidate more than one party's claims and may not otherwise preside over any form of a class or representative proceeding.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
